WHO WE ARE

May Kogel is an AI content agency based in Tel Aviv, Israel. We design AI-generated models, produce ad campaigns, create short-form influencer video, and consult with brands on AI-led creative.

ELIGIBILITY

You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, to use the Site or engage us. By using the Site you confirm that you meet this requirement and have the authority to enter into agreements on behalf of any brand or company you represent.

AI-GENERATED CONTENT - IMPORTANT NOTICE

The models featured on this Site (including, without limitation, Kai, Atlas, Iris, and Selene) are AI-generated characters. They are not real people. Any resemblance to actual persons is unintentional. Their imagery, video, voice, and other likeness assets are produced using generative AI tools and post-production workflows directed by May Kogel.

When AI-generated content is delivered to a client, the client agrees to:

• disclose the AI-generated nature of the content where required by law, platform policy, or industry self-regulation (e.g., FTC guidance, EU AI Act, Meta and TikTok synthetic-media labels);
• not use the content to impersonate real individuals, mislead consumers about product performance, or create sexually explicit, defamatory, or otherwise unlawful material;
• not present an AI model as a human in contexts where doing so would deceive a reasonable viewer to their detriment.

INTELLECTUAL PROPERTY

All content on the Site - including the May Kogel name, wordmark, model names, model imagery, text, video, and code - is owned by May Kogel or our licensors and is protected by intellectual-property laws. You may not reproduce, modify, distribute, or create derivative works from any of it without our prior written consent.

Deliverables produced under a paid engagement are governed by the licence granted in the applicable Statement of Work or order form. Absent a separate written agreement, all rights in the models, characters, training assets, and underlying production materials remain with May Kogel; the client receives a limited, usage-scoped licence to the final deliverables only.

ACCEPTABLE USE

You agree not to use the Site or any content downloaded from it to:

• break the law or infringe anyone's rights;
• generate or distribute non-consensual intimate imagery, child sexual abuse material, or content depicting real, identifiable persons without their consent;
• build a dataset for training a competing generative model, or scrape the Site for that purpose;
• attempt to gain unauthorised access to the Site, its servers, or any associated systems, or interfere with their normal operation;
• misrepresent your identity, affiliation, or the authenticity of content originating from May Kogel.

CONTACT FORM & INQUIRIES

Submitting an inquiry through the contact form does not create a contract or engagement. Engagements begin only when both parties countersign a Statement of Work, order form, or equivalent written agreement.

You agree to provide accurate information in any inquiry and to refrain from submitting unsolicited proposals, sensitive personal data, or third-party confidential information through the form.

THIRD-PARTY LINKS

The Site links to third-party platforms (e.g., Instagram, TikTok, WhatsApp). We do not control those services and are not responsible for their content, policies, or practices. Your interactions with them are governed by their own terms.

DISCLAIMERS

The Site and its content are provided “as is” and “as available” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. We do not warrant that the Site will be error-free or that defects will be corrected.

Nothing on the Site constitutes legal, financial, or other professional advice. Any statistics, sample work, or case studies shown are illustrative.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, May Kogel and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of the Site - even if we have been advised of the possibility of such damages.

Our total aggregate liability in connection with the Site (excluding paid engagements, which are governed by their own agreements) will not exceed one hundred US dollars (USD 100).

INDEMNIFICATION

You agree to indemnify and hold harmless May Kogel and its personnel from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your misuse of any AI-generated content delivered by us, or (c) your violation of any law or third-party right.

TERMINATION

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Site. The sections on intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

CHANGES TO THESE TERMS

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Continued use of the Site after a change means you accept the revised Terms.

GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws principles. The competent courts of Tel Aviv–Yafo have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Site, except that we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property or confidential information.
